You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@closedcaptioncreator.com if you suspect any unauthorized access or security breach.

We reserve the right to refuse registration, suspend, or terminate accounts at our sole discretion.

4. Description of the Service

Closed Caption Creator is a professional SaaS application that enables users to author, edit, synchronize, and export closed captions, subtitles, audio descriptions, and dialogue lists for broadcast and digital media workflows. The Service may include, without limitation:

  • A timed-text editor for manually and automatically creating captions and subtitle files;

  • Automatic transcription services powered by third-party speech-to-text providers;

  • Automatic translation services for multilingual subtitle creation, including prompt-based translation powered by large language models;

  • The AI Assistant, which answers questions about the Service (Ask mode) and can read and edit your project at your request (Agent mode);

  • AI audio description, text-to-speech voices, and other AI-powered tools;

  • File conversion, import, and export in industry-standard formats;

  • Collaboration and workflow tools for teams and organizations;

  • API access for automated caption workflows and integrations;

  • Audio description authoring and dialogue list management tools.

We reserve the right to modify, add, or discontinue features of the Service at any time with or without prior notice, though we will endeavor to communicate material changes.

5. Plans, Lifetime Licences, Fees, and Payment

5.1 Plans and Trials

The Service is offered under the following plan types:

  • Free Trial: A time-limited trial is available to new users, allowing evaluation of the Service without charge for the duration of the trial period. No payment information is required to start a free trial unless otherwise stated.

  • Monthly Subscription: Paid on a month-to-month basis. Billing cycles begin on the date of subscription activation.

  • Annual Subscription: Paid upfront for a full twelve-month period. Annual plans may be offered at a discounted rate compared to equivalent monthly plans.

  • Lifetime Licence: A one-time purchase of the desktop application, described in Section 5.7. A lifetime licence is not a subscription and does not renew automatically.

Specific pricing for each plan is published on our website and is subject to change with reasonable notice.

5.2 Payment Processing

All payments are processed securely by Stripe, Inc. (`Stripe`), our third-party payment processor. By providing payment information, you authorize us and Stripe to charge your designated payment method for applicable subscription fees. Your payment information is handled directly by Stripe and is subject to Stripe's own privacy policy and terms of service. We do not store your full credit card details on our servers.

5.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing cycle (monthly or annual) unless cancelled before the renewal date. You will be charged the applicable subscription fee at the start of each new billing cycle. It is your responsibility to cancel your subscription prior to renewal if you do not wish to continue.

Automatic renewal does not apply to lifetime licences or lifetime update renewals. These are one-time purchases, and you are only charged when you choose to buy one.

5.4 Price Changes

We reserve the right to change subscription fees at any time. We will provide at least thirty (30) days' advance notice of any price changes via email or in-app notification. Your continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing.

5.5 Taxes

All fees are exclusive of applicable taxes (including but not limited to GST/HST, sales tax, VAT, and similar levies). You are responsible for paying all applicable taxes associated with your subscription.

5.6 AI Usage Limits, Credits, and Overage

Use of AI Features is subject to the limits of your plan:

  • AI Assistant Ask mode is limited to a number of questions per day that depends on your plan or trial. Daily limits reset at 00:00 UTC.

  • AI Assistant Agent mode is available on eligible plans and uses credits. Credits are calculated from the AI processing each request uses, so larger tasks and more capable models use more credits. Eligible plans include a bundle of credits each billing period. Credits are shared across all users on the same account and do not roll over.

  • When included credits run out, additional usage (“overage”) is billed per credit through Stripe at the rate published on our website, up to a monthly spending limit set by the account owner. Setting the limit to zero turns overage off, and Agent mode then pauses until the next billing period.

Current limits, included credits, and overage rates are published on our website and in our documentation, and may change in accordance with Section 5.4.

5.7 Lifetime Licences and Update Renewals

Lifetime licences (Starter Lifetime and Pro Lifetime) are one-time purchases of a perpetual licence to use the Closed Caption Creator desktop application, subject to these Terms. The following terms apply:

  • Licensee and computers: A lifetime licence is for one user and may be active on up to two (2) computers at a time. You may move the licence to a different computer by releasing a computer through the application or our licence page, subject to the transfer limits published on our website.

  • Updates: Each lifetime licence includes the updates we release during the twelve (12) months after purchase. After that period, the licence continues to work on every version released while your updates were active, but does not include newer versions.

  • Update renewals: You may optionally purchase a lifetime update renewal, which extends your access to new versions by a further twelve (12) months. Update renewals are one-time purchases and are not charged automatically. Renewal prices are published on our website and may change in accordance with Section 5.4, but a price change does not affect a renewal you have already purchased.

  • Scope: A lifetime licence covers the desktop application only. Features that run on our cloud services, including automatic transcription, translation, AI Features, team and collaboration features, the browser version, and API access, are not included and require an active subscription.

  • Licence key: Your licence key is personal to you. You may not share, resell, or transfer it to another person without our written consent. We may deactivate a licence key that has been shared, resold, refunded, or obtained fraudulently, or whose use breaches these Terms.

  • Refunds: Lifetime licences and update renewals are a final sale except as set out in Section 6 and our Refund Policy.

6. Refund Policy

Closed Caption Creator Inc. offers a 14-day refund policy on all new paid subscriptions. If you are not satisfied with the Service for any reason, you may request a full refund within fourteen (14) days of your initial subscription payment.

To request a refund, contact us at support@closedcaptioncreator.com with your account details and reason for the request. Refund requests received after the 14-day window will not be eligible for a refund except as required by applicable law.

Refunds do not apply to:

  • Subscription renewals (monthly or annual) after the initial 14-day window;

  • Fees already used during a partial billing period where a refund has been issued;

  • Add-on services, usage-based charges, or one-time purchases, unless otherwise stated;

  • Lifetime licence purchases and lifetime update renewals, as described in our Refund Policy.

Refunds will be credited to the original payment method within 5–10 business days of approval. Notwithstanding the above, nothing in this policy limits any rights you may have under applicable consumer protection legislation.

7. Cancellation

You may cancel your subscription at any time through your account settings or by contacting support@closedcaptioncreator.com. Cancellation takes effect at the end of the current billing period, and you will retain access to the Service until that date. No partial refunds are issued for unused time within a billing period beyond the 14-day refund window described in Section 6.

Upon cancellation, your account data will be retained for a period of 90 days, during which you may request an export of your data. After this period, your data may be permanently deleted in accordance with our data retention practices.

8. Acceptable Use Policy

  • Attempt to gain unauthorized access to any part of the Service, other accounts, or our computer systems;

  • Resell or sublicense access to the Service without our prior written consent;

  • Use the Service to develop a competing product or service;

  • Misuse AI Features as described in Section 10.4.

9. Intellectual Property Rights

9.1 Our Intellectual Property

The Service, including its software, design, features, text, graphics, logos, and documentation, is owned by Closed Caption Creator Inc. and is protected by copyright, trademark, and other intellectual property laws. These Terms do not transfer any intellectual property rights to you.

9.2 Your Content

You retain full ownership of all content you upload, create, or process using the Service ("Your Content"), including media files, caption files, and related materials. By using the Service, you grant Closed Caption Creator Inc. a limited, non-exclusive, worldwide, royalty-free license solely to process, store, and transmit Your Content as necessary to provide the Service to you.

You represent and warrant that you have all rights, permissions, and consents necessary to upload Your Content and that doing so does not violate any third-party rights.

9.3 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without obligation or compensation to you.

9.4 Website Materials

The text, graphics, screenshots, videos, documentation, and other materials on the Website are protected by copyright and trademark law. You may view, download, and print Website materials for your own personal or internal business use, including evaluating and using the Service, provided you keep any copyright or other proprietary notices. You may not republish, sell, or mirror Website materials on another server without our prior written consent. Software you download from the Website, such as the desktop application, is licensed to you under these Terms.

10. AI Features

10.1 About AI Features

The Service includes optional features powered by artificial intelligence, including the AI Assistant, prompt-based translation, AI transcription, AI audio description, and AI voices (“AI Features”). AI Features are provided using third-party AI providers listed on our sub-processor list. Our Privacy Policy describes what data each AI Feature sends.

10.2 Your Inputs and Outputs

The prompts, instructions, and project content you provide to AI Features (“Inputs”), and the captions, translations, descriptions, answers, and edits they produce (“Outputs”), are Your Content under Section 9.2. As between you and us, you own your Inputs and, to the extent permitted by law, your Outputs. We do not use your Inputs or Outputs to train AI models, and we do not permit our AI providers to do so.

10.3 Review and Responsibility

AI Features can produce Outputs that are inaccurate, incomplete, out of sync, or inappropriate, and the same Input can produce different Outputs. Outputs may not be unique to you. You are responsible for reviewing Outputs before you use, publish, or deliver them, including for accuracy, compliance with accessibility and broadcast standards, and suitability for your audience.

In Agent mode, the AI Assistant can make changes to your project at your request. You are responsible for the changes you ask it to make and the changes you confirm. We recommend reviewing Agent changes before saving or exporting your project. The AI Assistant’s answers about the Service are for guidance only and do not change these Terms.

10.4 Acceptable Use of AI Features

In addition to Section 8.2, you agree not to:

  • Use AI Features to create content that is unlawful, harmful, deceptive, or that infringes the rights of others;

  • Attempt to bypass usage limits, credit metering, or safety measures, or to extract the underlying prompts, models, or system instructions;

  • Use AI Features in a way that violates the usage policies of the AI providers that power them;

  • Present Outputs as human-generated where disclosure of AI involvement is required by law or by your contracts.

We may suspend access to AI Features if we reasonably believe they are being misused.

11. Data Handling and Privacy

11.1 Our Commitment

Closed Caption Creator Inc. is committed to protecting your privacy. We do not sell, rent, lease, or otherwise share your personal data or Your Content with third parties for marketing purposes or for use in training artificial intelligence models. Your data is used exclusively to provide and improve the Service.

11.2 Data Storage and Security

Your Content and account data are stored using Firebase, Google's application development platform, including Firebase Storage. Data stored in Firebase Storage is encrypted at rest. While we implement industry-standard security measures, no method of electronic storage is 100% secure, and we cannot guarantee absolute security.

11.3 Third-Party Service Providers

To deliver the Service, we engage third-party service providers (“sub-processors”), including:

The complete, current list is published at https://www.closedcaptioncreator.com/subprocessors.html. When you use a feature that relies on one of these providers, your audio, video, or text content may be transmitted to that provider solely for the purpose of fulfilling the request. We take reasonable steps to ensure these providers maintain appropriate data protection standards, and we will update the list at least fourteen (14) days before adding a new sub-processor.

11.4 Privacy Policy

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100.00).

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

We may change Website materials at any time without notice and do not commit to updating them. The Website may link to third-party sites that we have not reviewed and do not control. A link does not imply our endorsement, and you use linked sites at your own risk.

14. Indemnification

You agree to indemnify, defend, and hold harmless Closed Caption Creator Inc. and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:

  • Required by applicable law or regulatory authority;

  • Continued provision of the Service to you would expose us to legal liability.

In the event of termination for cause by us, no refund will be issued.

15.4 Effect of Termination

Upon termination: (a) all rights and licenses granted to you under these Terms will immediately cease; (b) you must stop all use of the Service; (c) sections of these Terms that by their nature should survive will survive, including Sections 9, 10, 11, 13, 14, 15, 16, and 17.
