1. Introduction and Acceptance of Terms

Welcome to Closed Caption Creator, a professional Software-as-a-Service (SaaS) platform for authoring closed captions, subtitles, audio descriptions, and dialogue lists, operated by Closed Caption Creator Inc. (“Company,” “we,” “us,” or “our”).

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Closed Caption Creator Inc. They govern your access to and use of the Closed Caption Creator application, website, APIs, and all related services (collectively, the “Service”).

BY CREATING AN ACCOUNT, CLICKING “I AGREE,” OR OTHERWISE ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. If you do not agree to these Terms, you must not access or use the Service.

If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to “you” shall refer to that entity.

3. Eligibility and Account Registration

3.1 Eligibility

To use the Service, you must:

Be at least 18 years of age;
Have the legal capacity to enter into binding contracts in your jurisdiction;
Not be prohibited from accessing or using the Service under applicable law.

The Service is available for use globally without geographic restriction. However, it is your responsibility to ensure that your use complies with all laws applicable in your jurisdiction.

3.2 Account Registration

To access the Service, you must create an account by providing accurate, current, and complete information. You agree to maintain and promptly update your account information to keep it accurate and complete.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@closedcaptioncreator.com if you suspect any unauthorized access or security breach.

We reserve the right to refuse registration, suspend, or terminate accounts at our sole discretion.

4. Description of the Service

Closed Caption Creator is a professional SaaS application that enables users to author, edit, synchronize, and export closed captions, subtitles, audio descriptions, and dialogue lists for broadcast and digital media workflows. The Service may include, without limitation:

A timed-text editor for manually and automatically creating captions and subtitle files;
Automatic transcription services powered by third-party speech-to-text providers;
Automatic translation services for multilingual subtitle creation;
File conversion, import, and export in industry-standard formats;
Collaboration and workflow tools for teams and organizations;
API access for automated caption workflows and integrations;
Audio description authoring and dialogue list management tools.

We reserve the right to modify, add, or discontinue features of the Service at any time with or without prior notice, though we will endeavor to communicate material changes.

5. Subscription Plans, Fees, and Payment

5.1 Plans and Trials

The Service is offered under the following plan types:

Free Trial: A time-limited trial is available to new users, allowing evaluation of the Service without charge for the duration of the trial period. No payment information is required to start a free trial unless otherwise stated.
Monthly Subscription: Paid on a month-to-month basis. Billing cycles begin on the date of subscription activation.
Annual Subscription: Paid upfront for a full twelve-month period. Annual plans may be offered at a discounted rate compared to equivalent monthly plans.

Specific pricing for each plan is published on our website and is subject to change with reasonable notice.

5.2 Payment Processing

All payments are processed securely by Stripe, Inc. (`Stripe`), our third-party payment processor. By providing payment information, you authorize us and Stripe to charge your designated payment method for applicable subscription fees. Your payment information is handled directly by Stripe and is subject to Stripe's own privacy policy and terms of service. We do not store your full credit card details on our servers.

5.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing cycle (monthly or annual) unless cancelled before the renewal date. You will be charged the applicable subscription fee at the start of each new billing cycle. It is your responsibility to cancel your subscription prior to renewal if you do not wish to continue.

5.4 Price Changes

We reserve the right to change subscription fees at any time. We will provide at least thirty (30) days' advance notice of any price changes via email or in-app notification. Your continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing.

5.5 Taxes

All fees are exclusive of applicable taxes (including but not limited to GST/HST, sales tax, VAT, and similar levies). You are responsible for paying all applicable taxes associated with your subscription.

6. Refund Policy

Closed Caption Creator Inc. offers a 14-day refund policy on all new paid subscriptions. If you are not satisfied with the Service for any reason, you may request a full refund within fourteen (14) days of your initial subscription payment.

To request a refund, contact us at support@closedcaptioncreator.com with your account details and reason for the request. Refund requests received after the 14-day window will not be eligible for a refund except as required by applicable law.

Refunds do not apply to:

Subscription renewals (monthly or annual) after the initial 14-day window;
Fees already used during a partial billing period where a refund has been issued;
Add-on services, usage-based charges, or one-time purchases, unless otherwise stated.

Refunds will be credited to the original payment method within 5–10 business days of approval. Notwithstanding the above, nothing in this policy limits any rights you may have under applicable consumer protection legislation.

7. Cancellation

You may cancel your subscription at any time through your account settings or by contacting support@closedcaptioncreator.com. Cancellation takes effect at the end of the current billing period, and you will retain access to the Service until that date. No partial refunds are issued for unused time within a billing period beyond the 14-day refund window described in Section 6.

Upon cancellation, your account data will be retained for a period of 90 days, during which you may request an export of your data. After this period, your data may be permanently deleted in accordance with our data retention practices.

8. Acceptable Use Policy

8.1 Permitted Use

The Service may be used for both personal and commercial purposes, including but not limited to:

Producing closed captions and subtitles for broadcast, streaming, film, and online video;
Creating audio descriptions for accessibility compliance;
Authoring dialogue lists for post-production workflows;
Automated caption processing via the API in production media pipelines.

8.2 Prohibited Use

You agree not to use the Service to:

Violate any applicable local, provincial, national, or international law or regulation;
Upload, transmit, or process content that is unlawful, defamatory, obscene, abusive, harassing, or otherwise objectionable;
Infringe or misappropriate the intellectual property rights of any third party;
Attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code of the Service;
Access or use the Service in a manner that could damage, disable, overburden, or impair our servers or networks;
Use automated bots, scrapers, or scripts to access the Service beyond what is permitted under your plan or our API documentation;
Attempt to gain unauthorized access to any part of the Service, other accounts, or our computer systems;
Resell or sublicense access to the Service without our prior written consent;
Use the Service to develop a competing product or service.

9. Intellectual Property Rights

9.1 Our Intellectual Property

The Service, including its software, design, features, text, graphics, logos, and documentation, is owned by Closed Caption Creator Inc. and is protected by copyright, trademark, and other intellectual property laws. These Terms do not transfer any intellectual property rights to you.

9.2 Your Content

You retain full ownership of all content you upload, create, or process using the Service ("Your Content"), including media files, caption files, and related materials. By using the Service, you grant Closed Caption Creator Inc. a limited, non-exclusive, worldwide, royalty-free license solely to process, store, and transmit Your Content as necessary to provide the Service to you.

You represent and warrant that you have all rights, permissions, and consents necessary to upload Your Content and that doing so does not violate any third-party rights.

9.3 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without obligation or compensation to you.

10. Data Handling and Privacy

10.1 Our Commitment

Closed Caption Creator Inc. is committed to protecting your privacy. We do not sell, rent, lease, or otherwise share your personal data or Your Content with third parties for marketing purposes or for use in training artificial intelligence models. Your data is used exclusively to provide and improve the Service.

10.2 Data Storage and Security

Your Content and account data are stored using Firebase, Google's application development platform, including Firebase Storage. Data stored in Firebase Storage is encrypted at rest. While we implement industry-standard security measures, no method of electronic storage is 100% secure, and we cannot guarantee absolute security.

10.3 Third-Party Service Providers

To deliver certain features, we engage the following third-party service providers, each of whom may process your data in accordance with their own privacy policies:

Firebase (Google): Backend infrastructure, authentication, database, and file storage;
Stripe, Inc.: Payment processing and billing;
Sentry: Application error logging and performance monitoring;
Deepgram, Speechmatics, Assembly AI: Automatic speech-to-text transcription processing;
DeepL SE: Automatic translation services;
ModernMT: Automatic machine translation services.

When you use automatic transcription or translation features, your audio or text content may be transmitted to these third-party providers solely for the purpose of fulfilling the request. We take reasonable steps to ensure these providers maintain appropriate data protection standards.

10.4 Privacy Policy

11. Service Availability and Support

11.1 Uptime

We strive to maintain high availability of the Service, but we do not guarantee uninterrupted access. Scheduled maintenance, updates, and factors beyond our control (including third-party service outages) may result in temporary downtime. We will endeavor to provide advance notice of scheduled maintenance where reasonably practicable.

11.2 Customer Support

We provide 24/7 email-based customer support. Support requests may be submitted to support@closedcaptioncreator.com. We endeavor to respond to all support inquiries within twenty-four (24) hours of receipt. Response times may vary during periods of high volume or on statutory holidays.

12. Disclaimers and Limitation of Liability

12.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CLOSED CAPTION CREATOR INC. DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

We do not warrant that the Service will be error-free, uninterrupted, secure, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or usefulness of automatic transcription or translation outputs, which are provided as a convenience and should be reviewed and edited for professional use.

12.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CLOSED CAPTION CREATOR INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100.00).

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Closed Caption Creator Inc. and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:

Your use of the Service or violation of these Terms;
Your Content or the content you upload, process, or transmit through the Service;
Your violation of any third-party rights, including intellectual property rights;
Any misrepresentation made by you.

14. Term and Termination

14.1 Term

These Terms are effective from the date you first accept them and remain in force for the duration of your use of the Service.

14.2 Termination by You

You may terminate these Terms at any time by cancelling your subscription and deleting your account in accordance with Section 7.

14.3 Termination by Us

We reserve the right to suspend or terminate your access to the Service immediately and without prior notice if:

You materially breach these Terms and fail to cure the breach within seven (7) days of written notice;
We reasonably suspect fraudulent, abusive, or illegal activity on your account;
Required by applicable law or regulatory authority;
Continued provision of the Service to you would expose us to legal liability.

In the event of termination for cause by us, no refund will be issued.

14.4 Effect of Termination

Upon termination: (a) all rights and licenses granted to you under these Terms will immediately cease; (b) you must stop all use of the Service; (c) sections of these Terms that by their nature should survive will survive, including Sections 9, 10, 12, 13, 14, 15, and 16.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflicts of law principles.

15.2 Jurisdiction

You and Closed Caption Creator Inc. irrevocably submit to the exclusive jurisdiction of the courts of the Province of Ontario, Canada for the resolution of any dispute arising out of or in connection with these Terms or the Service.

15.3 Informal Resolution

Before initiating formal legal proceedings, you agree to first contact us at legal@closedcaptioncreator.com and make a good-faith effort to resolve the dispute informally. We will have thirty (30) days to respond and attempt resolution.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies or agreements incorporated by reference, constitute the entire agreement between you and Closed Caption Creator Inc. regarding the Service and supersede all prior and contemporaneous agreements.

16.2 Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you via email or a prominent in-app notice at least fourteen (14) days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription.

16.3 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.

16.4 Waiver

No waiver of any provision of these Terms shall be effective unless in writing and signed by an authorized representative of Closed Caption Creator Inc. A failure to exercise or delay in exercising any right shall not constitute a waiver.

16.5 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms or any of our rights hereunder to a successor or affiliate in connection with a merger, acquisition, reorganization, or sale of assets, without your consent.

16.6 Force Majeure

We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, civil unrest, governmental actions, third-party service failures, or internet disruptions.

16.7 Notices

16.8 Language

These Terms are written in English. Where required by law, a French translation may be provided. In the event of any inconsistency between the English and French versions, the English version shall prevail to the extent permitted by applicable law.
